Terms of Service

These Terms of Service form the master contract between SiteminderStore Vietnam Company Limited (Công ty TNHH SiteminderStore Việt Nam) and every hotel, hostel, resort, and property-management company that opens an account on siteminderstore.org. They govern access to the marketplace, the purchase of modules, and every subsequent interaction with the connectors that plug into your SiteMinder workspace. Read them carefully. By creating an account, ticking the acceptance checkbox at checkout, or connecting any module we distribute, you agree to be bound by the version of these Terms in force on that date.

§ 01Parties and definitions

The seller and service provider is SiteminderStore Vietnam Company Limited, Business Registration Certificate No. 0316854921, tax code 0316854921, charter capital VND 5,000,000,000, registered office at 235 Nguyễn Văn Cừ, Phường Nguyễn Cư Trinh, Quận 1, TP. Hồ Chí Minh, Việt Nam, represented by its director Nguyễn Minh Đức. Throughout this document "SiteminderStore", "we", "us", or "our" refers to that legal entity and no other. "Customer", "you", or "your" refers to the legal person or unincorporated business that opens an account with us. A "Module" is any software connector, template, automation rule, dataset, or accompanying documentation distributed through the marketplace. The "Marketplace" is the whole of siteminderstore.org, its subdomains, and any API surface we expose to Customers. Your "Workspace" is your SiteMinder account, hosted by SiteMinder Limited, into which our Modules connect via the officially published SiteMinder Application Programming Interface.

SiteminderStore is an independent Vietnamese company. We are not affiliated with, sponsored by, or endorsed by SiteMinder Limited. Our Modules work alongside your SiteMinder Workspace and do not replace SiteMinder; they extend it with editorial content, reporting overlays, task automations, and payment integrations that Vietnamese properties commonly require. Where these Terms refer to SiteMinder, its API, or its workspace, they do so purely as descriptions of an environment into which our Modules connect through the official channels that SiteMinder Limited makes available to any third-party developer.

§ 02Account creation and authority

To open an account the natural person completing registration must be at least eighteen years old and legally authorised to bind the Customer entity. During registration you must supply an accurate corporate name, tax code (mã số thuế), a valid Vietnamese business address, a monitored e-mail inbox, and the name and title of the person accepting these Terms. You are responsible for keeping that information accurate throughout the life of the account and for updating us within fifteen calendar days of any material change. We may suspend an account whose registration data is materially incorrect or which we have reasonable grounds to believe was created to conceal the true beneficiary of the service.

Each account is provisioned with a single owner login and any number of team seats. The owner is responsible for provisioning and de-provisioning seats, for enforcing internally the confidentiality of credentials, and for every action taken from the account whether or not it was authorised internally. If you believe a credential has been compromised you must reset it immediately and notify support@siteminderstore.org so that we can invalidate any live session tokens.

§ 03The Marketplace and how it operates

The Marketplace is a curated catalogue of Modules that Vietnamese hospitality operators can subscribe to on a monthly basis and connect to their SiteMinder Workspace. Some Modules are developed in-house by SiteminderStore; others are developed by third-party publishers and distributed under our commercial umbrella. Every Module page discloses the publisher, the exact scopes it will request from your Workspace, the categories of data it will read or write, the retention window that applies, and the countries in which the underlying servers are located. You are expected to review these disclosures before you install a Module and to reject those whose scopes exceed the internal authority granted to the seat performing the installation.

Installation is a two-step process. First, the Customer subscribes on the Marketplace and pays the first invoice in Vietnamese đồng. Second, the Customer opens their SiteMinder Workspace and authorises the Module through the standard OAuth-style consent screen that SiteMinder Limited operates. The Module becomes active only when both steps are complete. Uninstalling a Module in the Marketplace revokes the token but does not delete the historical data the Module has already accumulated in your Workspace or in our operational databases; deletion of that data follows the retention rules described in the Privacy Policy.

§ 04Fees, invoicing, and Vietnamese đồng

All prices published on the Marketplace are quoted in Vietnamese đồng (₫) and are inclusive of value-added tax at the statutory rate. Typical subscriptions range from 890,000 ₫ per month for a single lightweight connector to 5,900,000 ₫ per month for a bundle covering channel-management analytics, guest-communication automation, and multi-property reporting. The exact price of each Module is stated on its Marketplace page and forms part of the contract at the moment of subscription. Any subsequent price change will be notified in writing at least thirty days before it becomes effective; the Customer may terminate the affected subscription within that notice period without penalty.

Invoices are issued as electronic invoices (hoá đơn điện tử) in compliance with Decree 123/2020/ND-CP and Circular 78/2021/TT-BTC and are transmitted to the billing e-mail address on file. The Customer authorises SiteminderStore to file these invoices with the General Department of Taxation (Tổng cục Thuế) through the accredited service provider we contract for that purpose. Payment is accepted by domestic bank transfer to Vietcombank HCMC branch, account 007 100 054 3921, SWIFT BFTVVNVX, or through the payment providers listed on the checkout page (MoMo, VNPay, and international card acquirers).

§ 05Refunds, cancellation, and the 30-day comfort window

The full refund conditions live in the Refund Policy which forms an integral part of these Terms. In summary: every new subscription is covered by a thirty-day money-back window during which the Customer may cancel and receive a full refund of the first month's fee if the Module has not delivered as documented. Subscriptions cancel with thirty days' written notice sent to billing@siteminderstore.org; annual prepayments are pro-rated on the unused months. Refunds are settled by Vietcombank domestic transfer within thirty business days of the acceptance of the request. Consumed months are not refundable.

§ 06Responsibilities when you connect a Module to your Workspace

The Customer alone controls the SiteMinder Workspace credentials. When you authorise a Module to connect, you warrant that (i) you have the internal authority to grant the scopes the Module requests; (ii) the personal data that the Module will read from the Workspace has been collected from the underlying data subjects with the consents required by Decree 13/2023/ND-CP; and (iii) you will honour data-subject rights requests in relation to that data. SiteminderStore acts as processor for the personal data the Modules handle on your behalf; the Data Processing Agreement governs that processing.

You must not attempt to bypass the SiteMinder OAuth consent screen, share long-lived credentials across Modules, or use a Module to write data into a Workspace you do not lawfully control. Where a Module reports data back to you (for example, a nightly ADR summary), you are responsible for interpreting that data and for the operational decisions you take on the basis of it.

§ 07Acceptable use

The Acceptable Use Policy is incorporated into these Terms by reference. It prohibits the use of the Marketplace or of any Module to distribute illegal content, to send unsolicited commercial communications, to phish, to infringe intellectual-property rights, to distribute malware, to conduct unauthorised security testing, or to reverse engineer the SiteMinder Application Programming Interface. It also prohibits scraping the Marketplace and abusing rate limits. Breach of the Acceptable Use Policy is grounds for immediate suspension.

§ 08Intellectual property

All content published on the Marketplace — including the source code of Modules developed in-house, our design system, our editorial articles, and the aggregated benchmark datasets — is protected by Vietnamese copyright law and by international treaties to which Vietnam is a party. Nothing in these Terms transfers any ownership right to the Customer. When you subscribe to a Module you receive a non-exclusive, non-transferable, revocable licence to use it during the paid subscription period on the SiteMinder Workspace that you have declared at installation. You may not copy, sublicence, resell, redistribute, decompile, or reverse engineer the Module. Third-party Modules distributed on the Marketplace remain the property of their respective publishers, whose licence terms are annexed to the Module's page.

The word marks "SiteMinder", "Little Hotelier", and any related SiteMinder Limited insignia are the property of SiteMinder Limited and are used on the Marketplace solely for the descriptive purpose of identifying the environment into which the Modules connect. Their use does not imply any partnership, endorsement, or joint venture between SiteminderStore Vietnam Company Limited and SiteMinder Limited.

§ 09Warranties and disclaimers

SiteminderStore warrants that each Module will operate substantially in accordance with its published documentation for the duration of the paid subscription period. This warranty does not cover malfunctions caused by changes to the SiteMinder API that are outside our control, by the Customer's failure to maintain a valid SiteMinder subscription, by unauthorised modifications, by force majeure, or by combinations of Modules that are explicitly documented as incompatible. To the maximum extent permitted by Vietnamese law, all other warranties, whether express or implied, are excluded, including without limitation any implied warranty of merchantability or fitness for a particular purpose.

The Marketplace is provided on an "as available" basis. We target a monthly uptime of 99.5% measured at the ingress of our Vietnamese datacentres and we publish incident reports at /status. Interruptions caused by scheduled maintenance announced at least seventy-two hours in advance do not count against the uptime commitment.

§ 10Limitation of liability

To the maximum extent permitted by Vietnamese law and by the Law on Consumer Protection 2023, the aggregate liability of SiteminderStore in relation to any and all claims arising out of or in connection with these Terms or the use of any Module is capped at the total amount of fees paid by the Customer for the affected Module during the twelve months immediately preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data (except insofar as we have failed to comply with our data-protection obligations), lost goodwill, or business interruption. Nothing in this clause limits either party's liability for fraud, wilful misconduct, personal injury caused by negligence, or any other liability which cannot be limited by law.

§ 11Indemnity

The Customer will indemnify and hold harmless SiteminderStore, its directors, employees, and subcontractors against any third-party claim (including reasonable legal fees) arising out of (i) the Customer's breach of these Terms, of the Acceptable Use Policy, or of any applicable law; (ii) content or data uploaded by the Customer to the Marketplace or to a Module; or (iii) the Customer's failure to obtain the consents required to lawfully process the personal data that a Module handles on its behalf. SiteminderStore will indemnify the Customer against any third-party claim that an in-house Module, used in accordance with its documentation, infringes a Vietnamese intellectual-property right.

§ 12Termination

Either party may terminate a subscription for convenience by written notice served with thirty days' notice. Either party may terminate a subscription for cause with immediate effect if the other party is in material breach of these Terms and has failed to cure that breach within fifteen days of a written cure notice. On termination the Customer's access to the Marketplace and to any active Module is revoked; SiteminderStore returns or deletes the Customer's personal data in accordance with the retention rules of the Privacy Policy and the DPA. Termination does not affect any rights or obligations that by their nature survive termination, including without limitation clauses on intellectual property, confidentiality, liability, indemnity, and jurisdiction.

§ 13Export controls and sanctions

The Customer represents that it is not established in, and will not use any Module from, any country subject to comprehensive economic sanctions administered by the United Nations Security Council. The Customer is responsible for complying with any Vietnamese export-control rules that apply to the data it uploads through a Module. SiteminderStore reserves the right to refuse or to suspend a subscription whose fulfilment would place either party in breach of applicable sanctions.

§ 14Governing law and dispute resolution

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-laws principles. The parties will attempt to resolve any dispute amicably through a good-faith negotiation opened by written notice to the other party. If the dispute is not resolved within sixty days of that notice, either party may bring the matter before the People's Court of Ho Chi Minh City (Toà án nhân dân Thành phố Hồ Chí Minh), which the parties designate as the exclusive competent court. Consumers retain any statutory right to bring proceedings in the court of their domicile that they enjoy under the Law on Consumer Protection 2023.

§ 15Modifications to these Terms

SiteminderStore may revise these Terms from time to time. Material changes will be notified by e-mail to the account owner at least thirty days before the revised version enters into force. The revised version will be published on this page with a version number and an effective date. Continued use of the Marketplace after the effective date constitutes acceptance of the revised Terms. If the Customer does not accept the revised Terms, it may terminate its subscriptions within that thirty-day window without penalty and receive a pro-rated refund of any unused prepayment.

§ 16Miscellaneous — entire agreement, severability, assignment

These Terms, together with the Privacy Policy, the Cookie Policy, the Refund Policy, the Data Processing Agreement, the Acceptable Use Policy, the two Vietnam-specific compliance pages, and the pricing table published on the Marketplace, constitute the entire agreement between the parties and supersede any prior oral or written communication on the same subject. If any clause is held unenforceable by a competent court, the remainder of the Terms will continue in full force and effect. The Customer may not assign these Terms without our prior written consent; SiteminderStore may assign them to an affiliate or to a successor in a corporate reorganisation on written notice to the Customer. No waiver of any clause is effective unless in writing signed by the waiving party.
